We answer the most common questions about operating in Chile from abroad, the investor RUT, legal representation, and working with Iberocapital.
Company formation in Chile from Brazil
Yes, without restrictions. Your company can be 100% foreign-owned, whether you are an individual or a legal entity. Chile is one of the most open countries in Latin America for foreign investment. Only a RUT is required for the company and foreign shareholders, and we accompany you in that process.
It's a system from the Business and Companies Registry (RES) that allows you to incorporate, modify, or dissolve companies 100% digitally. We handle everything: form preparation, filing, and final registration. We guide you every step of the way to structure your business in the best possible way.
Yes. The structure is designed so you can be a partner or shareholder from abroad, signing powers of attorney and documents remotely when regulations allow.
If you choose express incorporation, the process is completed in a maximum of one week. If you opt for the traditional route (before the Real Estate Registry), the estimated time is two weeks or more. In both cases, deadlines begin once we receive all your complete documentation.
For individuals: be over 18 and have a RUT. For legal entities: have a RUT and the signature of their legal representative. If you are a foreigner without residence in Chile, you will need an investor RUT, which your legal representative handles before the SII. Additionally, an Advanced Electronic Signature is required (or done before a notary). We guide and accompany you through each of these requirements.
The most commonly used structures are: • EIRL (Individual Limited Liability Company): ideal if you're starting alone and want to separate your personal assets from the company's. • SRL (Limited Liability Company): perfect for businesses with 2 or more partners seeking flexibility and asset protection. • SpA (Stock Company): the most versatile and popular among foreign investors. Allows a single shareholder and facilitates the entry of new partners. • SA (Corporation): recommended for larger companies or those planning to go public. We help you choose the structure that best suits your project.
Foreign investor RUT (advisory)
The RUT (Rol Único Tributario) is the tax identification number in Chile, issued by the Internal Revenue Service. If you are a foreign investor, this number officially identifies you to carry out any economic operation in the country.
Any foreign person without domicile or residence in Chile who wishes to incorporate a company, participate as a partner in a Chilean company, or make investments in the country.
Your investor RUT allows you to operate legally in Chile: open bank accounts, carry out transactions, buy or sell properties, vehicles or shares, create companies and manage any administrative procedure.
The process is done before the Internal Revenue Service and requires specific documentation depending on your situation. Generally, you will need to work with a legal representative in Chile. We can handle the entire process so you avoid errors and delays.
No, you don't need to travel to Chile. Your attorney-in-fact or legal representative can handle it with a power of attorney you grant from your country of residence. That power must be apostilled or signed before a Chilean consulate.
The process is usually resolved in approximately five (5) business days from receipt of the complete application. We recommend starting it in advance to have it ready before any investment you plan to make.
Legal Representation
The powers are defined in the company's bylaws and may include: representing the company judicially and extrajudicially, signing contracts, opening bank accounts, issuing invoices, hiring personnel, and conducting procedures before public agencies. You decide the scope of their powers.
The law requires the company to have a person with domicile in Chile who can sign and respond to authorities in legal and tax matters.
Yes. It is possible to modify the legal representative through the corresponding minutes and annotations, respecting the formal requirements.
Iberocapital can designate one of its professionals as your company's legal representative, or you can appoint someone you trust who has domicile in Chile. We advise you to choose the best option for your situation.
Tax FAQs
The SII is Chile's tax authority, equivalent to the IRS in the United States or AFIP in Argentina. It oversees tax compliance, administers the RUT for companies and individuals, and manages the various tax regimes. All returns are filed through its digital platform. We accompany you in your relationship with the SII so you don't have to worry about the bureaucracy.
Monthly payments are only made if the company has sales and/or withholdings for professional fee receipts. If a company is subject to VAT on sales, it must pay 19% of sales after deducting the tax credit from purchases in the period and accumulated tax credit. Additionally, when there are sales (whether VAT-subject or exempt), a Provisional Monthly Payment (PPM) must be paid, ranging from 0.25% to 1% of net sales. For VAT-exempt companies (generally services, consulting, etc.), only the PPM is paid. Annually, tax payment depends on the tax regime the company is under. One regime does not tax profits, and partners or shareholders pay personal tax (Pro Pyme Transparent Regime).
Chile has treaties in force with more than 30 countries, including: • Americas: Argentina, Brazil, Colombia, Ecuador, Mexico, Paraguay, Peru, and United States (for information exchange only). • Europe: Spain, France, Germany, Italy, Portugal, United Kingdom, Switzerland, Belgium, Austria, Netherlands, Ireland, Poland, Czech Republic, Croatia, Denmark, Norway, Sweden, and Russia. • Asia and Oceania: China, Japan, South Korea, Malaysia, Thailand, Australia, and New Zealand. These treaties prevent you from paying taxes twice on the same income. We advise you on how to take advantage of the treaty applicable to your country.

We work with bank transfers, international payments, and local payment solutions depending on the country from which you hire the service.
